4. Project Terms

In case of conflict between these Terms and a project agreement, the project agreement shall prevail.

5. Payment Terms

• All prices are quoted in Euros (EUR) unless otherwise specified
• A deposit may be required before work commences
• Invoices are typically due within 14 days of issue
• Late payments may incur interest at 4% above the Bank of England base rate
• We reserve the right to suspend services for overdue accounts

6. Intellectual Property

Our IP: All pre-existing intellectual property, methodologies, templates, and tools developed by FourSeven.ai remain our property.

Client IP: All custom work created specifically for your project becomes your property upon full payment, unless otherwise agreed.

Third-Party IP: Any third-party software, tools, or services used in deliverables remain subject to their respective licenses.

7. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This includes business processes, technical information, pricing, and any other information marked as confidential. This obligation survives termination of the business relationship.

8. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However, we do not warrant that:

• Services will be uninterrupted or error-free
• Automations will achieve specific business outcomes
• Third-party services integrated will always be available

To the maximum extent permitted by law, we disclaim all other warranties, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, data, business, or goodwill

Nothing in these Terms excludes or limits liability for death, personal injury, or fraud.

10. Termination

Either party may terminate the engagement:

• By mutual written agreement
• With 30 days written notice (unless project agreement specifies otherwise)
• Immediately if the other party materially breaches these Terms

Upon termination, you shall pay for all work completed up to the termination date.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, pandemics, or failures of third-party services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
